Compliance Services
Business compliance consultation in Kolkata
A structured session that produces a written compliance calendar, not a sales pitch dressed up as advice.
What the consultation covers
We work through your structure, sector, turnover, headcount, states of operation and whether you export or hold personal data, because those variables decide which of the several hundred possible obligations actually apply to you.
The session covers entity-level filings with the Registrar of Companies, tax registrations and returns, labour and employment obligations, sector licences, intellectual property and data protection duties.
You leave with a written compliance calendar listing every filing, its due date, its statutory basis and the penalty for missing it. That document is useful even if you never engage us for the filings themselves, and we would rather you act on it than file it away unread.
The obligations most businesses discover late
Private limited companies must file annual returns and financial statements with the Registrar of Companies each year, hold board and general meetings with minuted records, maintain statutory registers and complete director KYC annually. Missing these attracts daily penalties that accrue quietly until someone tries to close or sell the company.
Tax obligations layer on: GST registration and periodic returns once thresholds are crossed, TDS deduction, deposit and quarterly returns, advance tax instalments, and the annual income tax return.
Employment obligations arrive with headcount, including EPFO and ESIC registration at the applicable thresholds, professional tax in West Bengal, registration under the Shops and Establishments legislation, and, in most cases, a policy and internal committee under the law on prevention of sexual harassment at the workplace.
Choosing the right structure, or fixing the one you have
Structure decides your compliance burden for years. A sole proprietorship is cheap to run and offers no liability protection. An LLP suits professional services with modest filing requirements. A private limited company is heavier to maintain but is effectively mandatory if you intend to raise institutional funding or issue employee equity.
One Person Company and partnership firm structures sit between those, each with specific limitations that matter more than most founders expect at the point of registration.
Conversion between structures is possible but costs time and money, so we would rather spend an hour on the decision than a quarter on the correction.
Recognition schemes and incentives worth checking
Udyam registration for micro, small and medium enterprises is free, quick and unlocks priority sector lending, tender preferences and access to the MSME Samadhaan mechanism for delayed payments, which is genuinely useful when a large customer stops paying.
DPIIT recognition under Startup India is available to eligible entities within a defined age and turnover limit and provides self-certification on certain labour and environmental laws, intellectual property filing benefits and eligibility for specific tax provisions subject to conditions.
West Bengal operates its own incentive schemes for particular sectors and locations. We check which you qualify for during the session rather than leaving you to discover them after the window closes.

FAQ
Consultation: questions we are asked
Annual filing of financial statements and the annual return with the Registrar of Companies, board and general meetings with minuted records, statutory registers, annual director KYC, income tax and TDS returns, and GST returns once registered. Employment-linked obligations such as EPFO, ESIC and professional tax apply as headcount grows.
Choose a private limited company if you plan to raise institutional investment or issue employee equity, since investors expect that structure. Choose an LLP for professional services and closely held businesses where the lighter filing burden matters and outside funding is not planned. Converting later is possible but costs time and fees.
Late filing attracts additional fees that accrue daily until the filing is made, and prolonged default can lead to director disqualification and the company being struck off. The position is usually recoverable. We assess exposure, file the outstanding returns in the correct sequence and quantify the cost before you commit.
Yes. It is free, takes minutes with your PAN and Aadhaar details, and unlocks priority sector lending, public procurement preferences and access to the MSME Samadhaan facility for recovering delayed payments from larger buyers. There is very little reason for an eligible business not to register.
The scoping conversation to understand your situation is free. The structured compliance review that produces the written calendar, gap analysis and action plan is a paid engagement, because it takes real research into your sector and states of operation. That document is yours to act on with any advisor you choose.
